Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers  

Appointment of Directors

On June 10, 2019, Intevac, Inc. (the “Company”) filed a Current Report on Form 8-K (the “Initial 8-K”) disclosing the appointment of Mses. Dorothy D. Hayes and Michele F. Klein to serve on the Company’s board of directors (the “Board”). At the time of the filing of the Initial 8-K, the Board had not determined committee assignments for Mses. Hayes and Klein.

On August 14, 2019, the Board appointed Ms. Hayes to serve as the Chairperson of the Audit Committee and Ms. Klein to serve as a member of the Compensation Committee and as a member of the Nominating and Governance Committee.
